Article 1 — Purpose

These General Terms of Sale and Subscription govern the conditions for subscribing to, paying for, renewing, suspending and terminating paid subscriptions to the INTERVIMO platform.

They supplement the General Terms of Use, Privacy Policy, GDPR Data Processing Agreement, Cookie Policy, Marketplace Rules, SLA and any special terms accepted by the Client.

Article 2 — Definitions

Client means any individual or legal entity subscribing to INTERVIMO.

User means any person authorised to access the platform under a Client account.

Subscription means the paid right to access the platform for the selected term and functional scope.

Plan means the commercial package selected by the Client, including its price, features, usage limits, number of users and any options.

Article 3 — Orders and subscriptions

A subscription may be taken out online, through a signed quote, purchase order, specific contract or any other method accepted by OMH SOLUTIONS.

The Client declares that they have legal capacity and, when acting for a legal entity, the authority required to bind it.

Every subscription entails acceptance of the contractual documents applicable when the order is placed.

Article 4 — First intervention free and activation

For the Partner service provider plan, the first intervention completed through INTERVIMO is free. The subscription is billed from the second intervention onward, at the price shown on the pricing page or in the offer accepted by the Client.

INTERVIMO may also offer a demonstration or another commercial benefit, whose conditions are specified before subscription.

Article 5 — Prices

The applicable prices are those shown on the pricing page, in the quote or in the accepted purchase order.

For business Clients, prices are stated excluding tax; VAT and any applicable taxes are added to the invoice.

For consumers, prices must be shown inclusive of all taxes before the order is confirmed.

INTERVIMO may change its prices. Any change affecting an existing subscription will be notified thirty (30) days in advance. The Client may reject the change and terminate the subscription before the new price takes effect.

Article 6 — Billing and payment

The subscription is billed monthly. Payment is made by bank card, direct debit, bank transfer or any other method offered by INTERVIMO.

Invoices are provided electronically. The Client accepts this billing method unless INTERVIMO agrees otherwise.

When payment is processed by a third party, that provider handles the payment data. INTERVIMO does not retain the Client’s complete banking details.

Article 7 — Late or failed payment

If payment is late, INTERVIMO may suspend access to the service after a formal notice remains unanswered for eight (8) days.

For business Clients, late-payment penalties may be applied in accordance with applicable law, together with the statutory fixed recovery charge where applicable.

Suspension does not release the Client from their payment obligation.

Article 8 — Term and renewal

Unless otherwise stated, subscriptions are taken out for a monthly or annual term and renew automatically.

The initial term, billing frequency and renewal date are specified when subscribing, in the quote or in the purchase order.

Article 9 — Termination by the Client

The Client may terminate their subscription through the platform or by emailing contact@intervimo.fr, subject to the notice period specified in the plan or contract.

Unless the law provides otherwise, any period already begun remains payable. Amounts already paid are not refunded if the Client terminates early.

Before termination takes effect, the Client must export any data they wish to retain.

Article 10 — Termination by INTERVIMO

INTERVIMO may suspend or terminate the subscription in the event of non-payment, serious or repeated breach of the contractual documents, fraudulent use, a threat to service security or clearly unlawful use.

INTERVIMO may discontinue a plan or the service with reasonable notice, except in an emergency, due to a legal requirement or force majeure.

Article 11 — Consumer right of withdrawal

When the Client is a consumer and the contract is concluded remotely, they generally have fourteen (14) days to exercise their right of withdrawal, subject to any applicable statutory exception.

When the digital service begins before the withdrawal period ends, INTERVIMO must obtain the consumer’s express prior consent and, where applicable, acknowledgement that the right of withdrawal is lost under the conditions prescribed by law.

INTERVIMO must provide an online withdrawal function where required by law.

Withdrawal form: [To be completed or created as a dedicated page before the B2C launch].

Article 12 — Support and availability

Support, maintenance, availability, incident and exclusion terms are set out in the SLA and Support — INTERVIMO.

Article 13 — Data and return

At the end of the subscription, the Client has thirty (30) days to export data available through their account, except in the event of suspension for serious cause or a conflicting legal obligation.

After this period, data may be deleted or anonymised in accordance with the Privacy Policy, GDPR Data Processing Agreement and statutory retention obligations.

Article 14 — Contractual documents

In the event of a conflict, the following order of precedence applies:

  1. Special terms or signed purchase order
  2. GDPR Data Processing Agreement
  3. General Terms of Sale and Subscription
  4. General Terms of Use
  5. SLA and Support
  6. Privacy Policy, Cookie Policy, Marketplace Rules and security appendices

Article 15 — Governing law and disputes

These General Terms of Sale are governed by French law.

In the event of a dispute, the parties will first seek an amicable solution. Consumer mediation rules apply to consumers. For business Clients, jurisdiction lies with the competent courts under applicable law and, where relevant, the special terms.
